UAE Free Zone Corporate Tax: Is Your 0% Position Defensible?
Free Zone Corporate Tax

Quick answer: A UAE Free Zone company does not automatically qualify for a 0% Corporate Tax rate. The 0% rate is available to a Qualifying Free Zone Person (QFZP) on Qualifying Income, subject to the conditions in the Corporate Tax Law and the applicable implementing decisions. A defensible position must connect the company’s activities, customers, income classification and records to those requirements.
Why a Free Zone licence is only the starting point
A trade licence identifies where a company is registered and which activities it is permitted to undertake. It does not, by itself, demonstrate that every transaction generates Qualifying Income or that every QFZP condition has been met.
The distinction matters for companies selling consulting, software, marketing, management or other services to customers in the UAE and abroad. A company can have accurate accounts and still need a separate tax analysis of the nature of its income and the legal position of its customers.
What does the law require?
Article 18 of Federal Decree-Law No. 47 of 2022 establishes the main QFZP conditions. These include maintaining adequate substance, deriving Qualifying Income, not electing to be taxed under the ordinary regime, complying with the applicable transfer-pricing rules and meeting further prescribed conditions.
The implementing decisions also address the de minimis condition, audited financial statements, Qualifying Activities and Excluded Activities. The activity classifications need to be checked against the legislation applicable to the relevant Tax Period. Importantly, Ministerial Decision No. 229 of 2025 replaced Ministerial Decision No. 265 of 2023 regarding Qualifying Activities and Excluded Activities; businesses should not rely on an outdated list without checking the replacement decision and its application.
A QFZP may be subject to 0% on Qualifying Income and 9% on Taxable Income that is not Qualifying Income. These are distinct from the standard rates applicable to other Taxable Persons; the standard AED 375,000 zero-rate band does not apply in the same way to a QFZP.
Five questions management should answer
1. What exactly does the company sell?
Review the commercial contracts and the services or goods actually delivered. The registered activity description is useful context, but the real transaction matters. One company can have multiple revenue streams with different treatments.
2. Who is the customer and who receives the benefit?
A customer may be another Free Zone Person, a mainland UAE business or a non-UAE party. The relevant rules differ according to the counterparty and activity. Contracts, invoices and operational records should support the chosen classification, including any relevant beneficial-recipient analysis.
3. Is the income properly classified?
Build a revenue-by-revenue mapping of Qualifying Income, other taxable income and any Excluded Activities. The mapping should reconcile to the general ledger and audited financial statements. Do not assume that income becomes qualifying merely because payment arrives from outside the UAE.
4. Can the business support its substance and transfer-pricing positions?
The people, activities, expenditure, assets and actual commercial conduct should support the tax position. Related-party arrangements require particular attention to the arm’s length principle and applicable documentation rules.
5. Are the records ready for an independent review?
The company should be able to explain its position using a coherent file: contracts, customer evidence, accounting schedules, tax computations, working papers and written judgments. A conclusion that depends only on a verbal explanation is difficult to reproduce consistently.
What happens if a QFZP condition is not satisfied?
The consequences can extend beyond one transaction. The FTA Free Zone Persons Guide explains that failing to meet QFZP conditions can result in the loss of QFZP status from the start of the relevant Tax Period and for the following four Tax Periods, subject to the governing legislation and any applicable exceptions. That makes early review particularly important.
A practical approach to a Free Zone Tax Review
Start with the entity structure and actual activities. Next, reconcile revenue records to contracts and customer classifications. Test each material income category against current legislation. Review substance, transfer pricing and audited accounts. Finally, record the legal basis, areas of uncertainty and actions needed before management approves the Corporate Tax position.
The purpose is not to promise a 0% outcome. It is to determine which conclusions are supported, which require further evidence and which need a different tax treatment.
Frequently asked questions
Does every UAE Free Zone company pay 0% Corporate Tax? No. A Free Zone Person must satisfy the relevant QFZP conditions, and the 0% rate applies to Qualifying Income.
Are audited financial statements enough to prove QFZP eligibility? No. Audited financial statements address financial reporting; they do not by themselves establish every substantive Corporate Tax condition.
Does earning revenue from overseas customers automatically qualify for 0%? No. The income category, activity, transaction and applicable conditions must be assessed.
When should management review eligibility? During the Tax Period and before filing, especially when activities, customers or contractual arrangements change.
